Valor End User License Agreement

This End User License Agreement (“EULA”) is a binding agreement between you and Valor Sim Racing LLC (“Valor”) governing Valor desktop applications, installers, updates, overlays, data components, documentation, and related software (“Software”).
By installing, copying, accessing, activating, or using the Software, you agree to this EULA and the [Master Service Terms](https://www.valorsimracing.com/masterterms). If you do not agree, do not install or use the Software.
## 1. License grant
Subject to an active entitlement and compliance with the governing terms, Valor grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Software within the scope of your plan:
- Valor Pro: one named driver on one active device at a time;
- Team Hub 3: up to three named drivers, each using the assigned key and device;
- Team Hub 5: up to five named drivers, each using the assigned key and device;
- Team Hub 10: up to ten named drivers, each using the assigned key and device; or
- Valor Competition: the purchasing organization, one licensed location, and no more than the Licensed Rig Count at one time, plus authorized manager use.
The Software is licensed, not sold. No ownership in the Software transfers to you.
## 2. Activation, entitlement, and device controls
The Software may require an access key, account, organization name, join code, internet connection, entitlement check, application-version check, and hashed device verification. Valor may limit a key to a named user, role, seat, rig, organization, location, or device.
You may not share, publish, sell, lease, lend, transfer, or expose an access key except through a Valor-approved reassignment. Valor may deactivate, rotate, or reset credentials to enforce the license, address compromise, or protect the Services.
## 3. Updates
Valor may install, download, or require application, security, compatibility, data, map, model, Baseline, and other updates. An update may add, modify, replace, or remove features. The Software may stop working until a required update or entitlement check completes.
You authorize the Software to check for updates and entitlement information. Do not block a required check while continuing to use the affected licensed feature.
## 4. Permitted use
You may:
- install and run the Software within the purchased plan limits;
- use supported overlays, telemetry analysis, voice, AI, Film Room, reports, Baselines, Team Hub, and Competition features within the applicable license;
- make a reasonable backup copy of the installer or your local configuration for recovery, provided the copy remains protected and is not distributed; and
- export an Accepted Baseline covered by your Driver License or other exportable user data where the Software provides that function, subject to the Baseline and Driver Data Rights Policy.
## 5. Restrictions
Except to the limited extent a non-waivable law permits, you may not:
- copy, distribute, publish, sell, rent, lease, sublicense, host, mirror, or make the Software available to another person;
- reverse engineer, decompile, disassemble, translate, extract, reconstruct, or attempt to discover source code, models, algorithms, prompts, data structures, private interfaces, credentials, or signing material;
- bypass or alter access-key, device, seat, rig, location, plan, payment, update, rate, encryption, signature, or security controls;
- modify the Software, create an unauthorized derivative, inject code, automate an undocumented interface, or use it with unauthorized third-party tools;
- remove copyright, trademark, proprietary, license, telemetry, attribution, or security notices;
- scrape, bulk extract, or redistribute official Valor Baselines, official data packs, maps, measurements, reports, models, or service responses;
- use the Software or its outputs to train, benchmark for publication, or improve a competing commercial product without Valor’s written permission;
- use a consumer or Team Hub license for a sim center, café, paid coaching station, customer rig, rental rig, public event, or venue;
- operate more named drivers, seats, devices, locations, or rigs than the plan permits; or
- use the Software unlawfully or in violation of simulator, event, sanctioning-body, or platform rules.
## 6. Driver License and Baseline exception
The restriction on redistributing Valor property does **not** prohibit an Originating Driver from exercising the Driver License. Although Valor owns an Accepted Baseline, the Driver License permits the Originating Driver to use, export, share, sell authorized copies of, trade, license, sublicense, or give away the Originating Driver’s underlying Accepted Baseline.
The Driver License does not authorize you to distribute:
- another driver’s Baseline without permission;
- an Official Valor Baseline or official data pack as Valor packaged it;
- Valor’s software, map library, measurements, models, proprietary file compilation, or branding;
- third-party content that cannot lawfully be transferred; or
- a derivative that contains a substantial protected portion of Valor property beyond your underlying contribution.
Valor’s ownership, your Driver License, teammate settings, Baseline-related name permission, and legacy Baselines are governed by the Baseline and Driver Data Rights Policy. Selling or giving away an authorized copy does not transfer Valor’s ownership unless Valor expressly signs that transfer.
## 7. Local files and network functions
The Software may store settings, access-key information, hashed or raw local device identifiers, bindings, cached responses, logs, updates, Baselines, reports, progression, team or organization state, event data, display state, and backups on your device.
Valor Competition may run a local same-network display service and pair browser or television receivers. You are responsible for using a trusted network, appropriate firewall rules, pairing controls, and secure devices. Do not expose the local display service to the public internet.
Uninstalling the Software may not remove every file, cache, backup, report, Baseline, account record, or subscription. You are responsible for local deletion and secure disposal of devices.
## 8. Overlays, automation, voice, and controls
Overlays and controls may cover simulator content, affect visibility, or behave differently after a simulator or Windows update. Position and test them safely before a session. Do not rely on an overlay as the only source of critical timing, status, spotting, fuel, penalty, or event information.
Voice and automation commands may be misunderstood, delayed, or unavailable. You remain responsible for simulator control, pit commands, settings, and compliance with event rules. Valor does not guarantee that a simulator or platform permits every automation feature.
## 9. Telemetry, AI, and data processing
The Software may process telemetry and related context locally and through Valor’s services. When you activate push-to-talk, audio may be sent to a speech-recognition provider, and the transcript and relevant context may be sent to Valor and an AI provider to generate a response. Data handling is described in the Privacy Policy.
AI, voice, telemetry, comparison, and strategy outputs may be inaccurate or incomplete and are not official results, safety advice, or professional engineering services.
## 10. Third-party and open-source components
The Software may include or interact with third-party or open-source components. Their separate notices and licenses apply to those components. Where an open-source license grants rights that conflict with this EULA, that license controls only for the covered component.
Third-party simulators, APIs, speech providers, AI providers, operating systems, hardware, and networks are not controlled by Valor and may change or stop supporting an integration.
## 11. Ownership
Valor and its licensors retain all right, title, and interest in the Software and related intellectual property, including source code, object code, interfaces, models, prompts, algorithms, Accepted Baselines, official data packs, Official Valor Baselines, maps, measurements, designs, documentation, and trademarks.
You retain ownership of your User Content and any legacy Baseline not assigned to Valor, as stated in the governing policies. Valor owns Accepted Baselines subject to the Driver License. All completed assignments, licenses, name-use permissions, and feedback rights remain effective.
## 12. Term and termination
This EULA begins when you first install or use the Software and continues while you possess or use it. Your right to use licensed features depends on an active entitlement.
The license ends automatically if you materially breach this EULA or when the applicable entitlement ends. Valor may also terminate or suspend it under the Master Service Terms.
When the software license ends, stop using the Software and remove copies of the Software within your control. Sections concerning restrictions, Baseline assignments, ownership, the Driver License, name-use permissions, disclaimers, liability, dispute resolution, and other provisions intended to survive will survive. Ending the EULA does not reverse Valor’s ownership or terminate the Driver License.
## 13. Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, COMPATIBILITY, SECURITY, OR RESULTS.
VALOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, LOSS-FREE, OR COMPATIBLE WITH EVERY SIMULATOR, UPDATE, DEVICE, RIG, NETWORK, TRACK, CAR, OR CONFIGURATION.
## 14. Limitation of liability
The liability exclusions and aggregate cap in the Master Service Terms apply to the Software and this EULA. To the maximum extent permitted by law, Valor is not liable for lost data, Baselines, profits, prizes, business, hardware, software, events, or opportunity, or for indirect, incidental, special, punitive, exemplary, or consequential damages.
## 15. Export, sanctions, and government use
You may not use, export, re-export, or transfer the Software in violation of United States export-control, sanctions, or other applicable trade laws. You represent that you are not prohibited from receiving the Software.
The Software is commercial computer software. Any government use is subject to the same license rights customarily provided to the public, except where applicable law requires otherwise.
## 16. Governing terms
The dispute-resolution, governing-law, venue, notice, assignment, severability, and general provisions in the Master Service Terms apply to this EULA.
